Magefan End User License Agreement

This End User License Agreement (EULA)  is a legal agreement between you,  the person or company (hereinafter “Licensee”)  who is being licenced to use the Magefan Software (software products) and Magefan.com (hereinafter “Magefan”). 

By purchasing, installing, copying, downloading the Software or otherwise using the Software, Licensee agrees to comply with the terms of this EULA.

 

License

 

1.1. The Agreement comes into legal force at the moment when Licensee orders Magefan Software from Magefan website (website “magefan.com”) or receives it through email or on a data medium or in any other way.

1.2. This Agreement gives the Licensee the right to use only one copy of the Software on one LIVE Magento instance. A separate License should be purchased for each LIVE Magento instance. Licensee can use the software on an unlimited number of developments, staging, test Magento instances.

1.3. Licensee must not reproduce the Software in copies, either alone or as a part in any other software or product or website.

1.4. Licensee must not distribute, give, sell, sub-license, rent, lease or lend Software or its parts. Any distribution of the Software without Magefan consent, including noncommercial distribution, is regarded as a violation of this Agreement and entails liability, according to the current law.

1.5. The Software is provided under this License on an "AS IS" basis and without any warranty, either express or implied, including, without limitation, the warranties of non-infringement, merchantability or fitness for a particular purpose. The entire risk as to the quality of the software is with Licensee.

1.6.  By using Magefan Software Licensee agrees that notifications about Magefan's product (e.g. new releases, special promotions) will be sent to Licensee’s Magento Admin Notifications. In case the Licensee wants to disable them he can do it by contacting Magefan.

1.7.  Magefan reserves the right to change this EULA at any time and impose its clauses at any given time.

 

Intellectual Property Rights

 

2.1. The rights to the Software granted to Licensee are only a licence. Nothing in this EULA or other document grants Licensee any ownership rights to the Software, in whole or in part.

2.2. The Software, all copies of it, and all intellectual property rights to the Software and its copies are owned by Magefan. The software is protected by copyright and other intellectual property rights, laws and conventions.

2.3. Licensee confirms that the Software is subject to copyright and that Licensee should not perform or permit any action that violates copyright at any time (either before or after the termination of this License).

2.4. Magefan reserves all rights to the Software that are not expressly granted to the Licensee by this EULA.

 

Access to Software Updates

 

3.1. The Software goes with 365-day access to the new releases and lifetime access to the source code, and a 365-day support period.

3.2. Every next year, in order to get access to the Software updates and support — the Licensee needs to pay 50% of the Software price (Extension Renewal). The Extension Renewal is a non-refundable product.

3.3. Licensee with an order placed before February 1, 2022, continues to receive FREE lifetime updates but the support period will expire according to its expiration date selected during the purchase. To renew the support period, Licensee needs to order a support plan.

 

Termination

 

4.1. This License is valid from the date of the Agreement to its termination in accordance with this clause.

4.2. Magefan has the right to terminate the License with immediate effect by sending a written notice in the following cases the Licensee violates any condition of this License, and the violation is not eliminated within 14 (fourteen) days after receiving a written notice from Magefan.

4.3. After the termination, the Licensee must remove or uninstall all copies of the Magefan Software immediately. 

 

Refund Policy

 

5.1. Licensee has the right to request a refund within 30 days after an order has been placed. The refund policy applies only in case the extension to be refunded has been purchased at magefan.com website.

5.2. Fees for subscription services and any other services provided by Magefan are not refundable.

5.3. Installation Service, Custom Development Service and other services Magefan provides (full list: https://magefan.com/services ) are not refundable after the service has been provided to a customer.
